Welcome to SpotRev Marketplace. These Terms and Conditions ("Terms") govern your use of our platform. By using SpotRev, you agree to these Terms. Please read them carefully.

1. About SpotRev

SpotRev Marketplace is operated by SpotRev Innovations, located in Lusaka, Zambia. We provide a platform where users can share and subscribe to digital subscription services safely.

2. Who Can Use SpotRev

  • You must be 18 years or older to use this platform
  • Minors cannot use SpotRev, even with parental consent
  • You must be located in Zambia
  • You must provide accurate information when registering

3. Account Types

Subscribers

  • Can browse and subscribe to services
  • Must pay for subscriptions through the platform
  • Build reputation through timely payments

Sellers

  • Can offer subscription services to others
  • Must pay a security deposit before listing services
  • Must ensure subscribers receive the service they paid for
  • Earn money from subscriptions (minus platform commission)

Both

You can be both a subscriber and a seller simultaneously.

4. Prohibited Services

You cannot offer or subscribe to:

  • Adult or explicit content services
  • Gambling or betting accounts
  • Any illegal services
  • Services that violate third-party terms of service in harmful ways

We reserve the right to remove listings that violate this policy.

5. How SpotRev Works

For Subscribers:

  1. Browse available services in the marketplace
  2. Message sellers directly on the platform
  3. Seller adds you to their family
  4. You select a subscription plan and pay through SpotRev
  5. Enjoy the service for the paid period
  6. Renew before expiration to keep access

For Sellers:

  1. Create a listing for a service you own
  2. Add families with specific capacities
  3. Pay a security deposit (calculated based on your total capacity)
  4. Receive requests from subscribers
  5. Add subscribers to your families via in-platform chat
  6. Receive payments (minus 5% platform commission)
  7. Withdraw earnings after 72-hour hold period

6. Payments and Fees

Platform Commission

  • SpotRev charges 5% commission on all subscription payments
  • This fee covers platform maintenance, payment processing, and security

Security Deposits (Sellers Only)

  • Required before your listing goes live
  • Calculated as: Total Family Capacity x Service Minimum Price x 0.6
  • Held to protect subscribers in case of disputes
  • Can be withdrawn only when you have no active subscribers
  • Used for refunds if you violate platform policies

Payment Processing

  • All payments processed via mobile money (MTN, Airtel, Zamtel)
  • Payment provider may charge additional fees

Refunds

  • Refund requests must be made within 48 hours of payment
  • Valid reasons: service access not provided, removed from service without cause, service interrupted during paid period
  • Refunds are processed within 5-7 business days
  • SpotRev handles all refund decisions

No Refunds For:

  • Change of mind after service is provided
  • Your account being banned by the service provider due to your own actions
  • Issues that occur outside the SpotRev platform

7. Reputation and Points

Subscriber Reputation

  • Fast payment: Earn points
  • Early renewal: Earn points and bonus days
  • Late payment: Lose points
  • Payment default: Lose points
  • Inactivity: Lose points over time

Point Consequences

  • Points below a certain threshold will result in account suspension
  • Suspended accounts cannot make new requests or renewals
  • Existing subscriptions will complete their term

Seller Ratings

  • Subscribers rate sellers after each payment (1-5 stars)
  • Ratings are permanent and cannot be deleted
  • Low ratings affect your marketplace visibility

8. Communication Rules

Mandatory On-Platform Communication

  • All service-related discussions must happen on SpotRev's messaging system
  • Family invite links must be shared through the platform
  • Messages cannot be deleted (creates audit trail for disputes)

Off-Platform Dealings

  • You can communicate outside SpotRev at your own risk
  • SpotRev cannot help with issues from off-platform transactions
  • We only resolve disputes where evidence exists in our messaging system
  • If you get scammed outside SpotRev, we cannot assist

9. Responsibilities

Seller Responsibilities

  • You must own the subscription service you're offering
  • You must ensure subscribers have access for their entire paid period
  • You must respond to subscriber issues promptly
  • You must not remove subscribers without valid reason
  • If your service account gets banned, you are responsible for either creating a new account and migrating subscribers, or issuing full refunds

Subscriber Responsibilities

  • Pay for subscriptions within 24 hours of being added to a family
  • Maintain good reputation through timely payments
  • Do not share your family slot with others
  • Follow the service provider's terms
  • If your account gets banned by the service provider due to your actions, no refund will be issued

Both Parties

  • Treat each other with respect
  • Do not attempt to scam or defraud
  • Report issues through proper channels
  • Keep your account information secure

10. Prohibited Activities

You may not:

  • Create fake accounts or multiple accounts to abuse the system
  • Use stolen payment methods or fraudulent cards
  • Attempt to scam other users
  • Leave fake ratings (ratings only allowed after payment)
  • Share accounts in ways that violate service provider terms
  • Harass, threaten, or abuse other users
  • Attempt to bypass platform fees
  • Use bots or automated tools to manipulate the platform

Consequences: First violation results in a warning. Serious violations lead to immediate permanent ban. Scamming results in permanent ban and forfeiture of security deposit.

11. Account Termination

By You

  • You can delete your account anytime through settings
  • Sellers must have zero active subscribers before account deletion
  • All data will be deleted within 30 days

By SpotRev

We can suspend or ban your account if you violate these Terms, engage in fraudulent activity, your reputation points fall below -50, or you repeatedly scam or harm other users.

Important: We cannot ban sellers who have active subscribers. They must complete all subscriptions or issue refunds first.

Banned accounts cannot create new accounts, cannot access the platform, and security deposits are used for refunds if the ban was due to scam.

12. Disputes and Resolution

Filing a Dispute

  • Must be filed within 48 hours of the issue
  • Provide detailed explanation and evidence
  • Reference in-platform chat messages

Our Review Process

  • We review all chat history and payment records
  • We may contact both parties for clarification
  • Decision made within 5-7 business days
  • Our decision is final

Possible Outcomes

  • Full refund to subscriber
  • Partial refund to subscriber
  • No refund (dispute rejected)
  • Warning or ban to either party

13. Liability and Disclaimers

What SpotRev Is Responsible For

  • Maintaining the platform
  • Processing payments securely
  • Resolving disputes fairly
  • Protecting user data

What SpotRev Is NOT Responsible For

  • Issues with the actual services (Netflix, Spotify, etc.)
  • Service provider bans or restrictions
  • Subscriber or seller behavior outside the platform
  • Loss of access due to service provider changes
  • Any damages beyond the transaction amount

Platform Availability

We aim for 99% uptime. Platform is hosted on reliable VPS providers. Scheduled maintenance will be announced in advance. We are not liable for brief outages or technical issues.

Use at Your Own Risk

SpotRev facilitates connections between users. We do not guarantee seller performance. We do not control third-party services. Maximum liability limited to the transaction amount.

14. Intellectual Property

Your Content

  • You own the images and content you upload
  • You grant SpotRev the right to display your content on the platform
  • You cannot upload copyrighted content you don't own

Platform Content

  • SpotRev logo, design, and platform code are owned by SpotRev Innovations
  • You cannot copy, modify, or redistribute our platform

15. Privacy and Data

What We Collect

  • Email, username, phone number
  • Transaction history
  • Messages sent on platform
  • Reputation and rating data

How We Use It

  • To operate the platform
  • To process payments
  • To resolve disputes
  • To improve our services

Data Storage

Stored on secure VPS servers in trusted data centers. Encrypted in transit and at rest.

We Do Not:

  • Sell your data to third parties
  • Share your data with advertisers
  • Use your data for purposes outside SpotRev

Your Rights

  • Request a copy of your data
  • Request deletion of your account and data
  • Opt out of promotional emails

16. Changes to Terms

  • We may update these Terms as the platform grows
  • You will be notified via email before changes take effect
  • Continued use after changes means you accept the new Terms
  • If you don't accept, you can stop using SpotRev

17. Governing Law

  • These Terms are governed by the Cyber Laws of Zambia
  • Any disputes will be handled under Zambian jurisdiction
  • As the platform grows, we may implement formal arbitration processes

These Terms and Conditions are effective as of January 2026 and will be updated as the platform evolves.
